The New Jersey Appellate Division reversed the trial court’s order granting, in part, the plaintiff’s partial summary judgment motion. The Court affirmed the order denying the defendants’ partial summary-judgment cross-motion. Finding no abuse of discretion, the Court affirmed the trial court’s order compelling production of the defendants’ tax returns. Resolution of the appeal depended on the meaning of “operating agreement” in the Revised Uniform Limited Liability Company Act (“the Act”). The Court ruled that the trial court misinterpreted the Act. Further, the Court determined that there was a genuine issue of material fact as to whether and when a draft operating agreement became the plaintiff’s operating agreement.
